Board of Directors

The Wexford Residence Inc.

What is a Board of Directors?

The Wexford Residence Inc. is an Ontario not-for-profit charitable corporation and as such is governed by a Board of Directors.  The role of the Board is to manage the affairs of the corporation and make sure that it is achieving its goals and delivering on its mission.  Each Director has a duty to always act in the best interests of the corporation.

The needs of organizations and their board constantly change. A board skills matrix enables boards of directors to continually adapt and evolve. As a forward-looking organization, The Wexford uses a board skills matrix as a practical means for tracking the skills, characteristics, and capabilities of individual directors, and the board overall. It helps to simplify board assessments and identify strengths and weaknesses across the board, including gaps that should be filled in searching for new board members.

Orientation – Initiation to Board Service

The Wexford Residence has a formalized Board Orientation process that each new member has to attend. It is an initiation to board service; an introduction to the organization, its mission, and programs; clarification of future time and financial demands; an opportunity to get to know other team members; and a chance to form an educated foundation for the coming years on the board.

Ethical-Decision Making Framework

The ethical decision-making framework represents a standardized, and organization wide approach related to issues of resident care and business practices at The Wexford Residence Inc. The Board will, through the CEO, ensure that The Wexford has established appropriate policies and processes to support its responsibility for ethical management, decision-making and service delivery. The Wexford Residence supports the principle that ethical decisions need a structured process in order to achieve consistency throughout the organization. Likewise, the Board will also employ the framework when making its own decisions.

Who is on the Board of Directors?

The Wexford has a Board of 11 Directors who serve on a volunteer basis under the leadership of the Board Chair.   They are drawn from the community and elected by the members of the corporation. The Directors bring with them    a variety of skills and experience that together ensure that the Board has the appropriate expertise to carry out its functions. The Board meets monthly and is responsible for setting the overall strategic direction for The Wexford.

The day-to-day operations of the Wexford are overseen by its Chief Executive Officer, who is appointed by the Board. The CEO is responsible for providing strategic, financial and operational leadership for The Wexford and will closely coordinate and work with the Board of Directors and Senior Leadership Team. The CEO and the Board of Directors agree on a performance plan for each year that contains performance goals and metrics for evaluation.  Performance and goal discussions and evaluation are ongoing throughout the year but occur formally at mid-term and end of term.

The Board has established standing committees of staff and Directors that focus on particular areas of importance including Finance, Governance and Risk Management, Continuous Quality Improvement and Property Issues. The Board is also assisted in its work by the Family Council and the Residents’ Council.
